<p>Radiancy and its management commenced operations in Sweden in the 1980&#8242;s as a research and development business exploring the effects and uses of light and heat energy on the human body and its potential industrial applications.</p>
<p>By the late 1990&#8242;s, a series of phototherapy devices were created for use in treating a variety of dermatological conditions such as psoriasis and acne, which led ultimately to development of the first Radiancy hair removal and skin rejuvenation machines being launched in 2003. This coincided with a series of optical LASER&#8217;s for use in eye correction and hair stimulation and treating premature balding.</p>
<p>Since 2005, the focus of the business has been to expand the use of its proprietary light and heat technology in treatment of foods and plant extracts and develop a range of devices and processes for licences use in those industries.</p>
<p>The Australian company and its parent have owned the intellectual property and licensed its use in around the world since 2004. In 2011 it resolved for Radiancy in Australia to focus on the Australian, Asian and Pacific markets with licencing of its technology and devices in the USA and Europe to be managed and coordinated from its offices in Holland.</p>

<p><strong>Global Technologies S.A</strong></p>
<p>Incorporated in Luxembourg in 1998 and proceeded to establish subsidiaries in the Netherlands, UK and North America for holding of patents, trademarks and other intellectual property. The company has licenced the use of various innovations and technologies in energy recovery, food processing and light and LASER treatments. In 2000 the company changed residence and formed a joint venture with the Radiancy Group to develop its LASER&#8217;s and pulsed light technology for dermatological applications and ultra violet treatment of foods especially with regards to ozone creation and long term preservation techniques.</p>
<p><strong>Ittman B.V.</strong></p>
<p>Has been involved in the hotel and property development along the Rhine Valley in Germany and the Benelux since 1919. Since 1992 the Company has focused on hotel/restaurant management. In 2004 the Company formed a joint venture with Radiancy Group to use its technology in food processing investments held in Europe and Australasia.</p>
<p>Radiancy Group is divided into two major divisions, i.e. Passive and Active.</p>
<p><em>Passive:</em></p>
<p>a) <strong>Intellectual Property</strong>: Trademarks, know-how and LASER&#8217;s with joint ventures and licencing to distributors in Israel, USA, Asia and South America. For a variety of tax and commercial considerations licensing has been managed by Radiancy (Australia) P/L since 2004. The international trademarks and franchising has been recently taken over by Radiancy P/L which hold worldwide trademarks and is responsible for franchising and licensing of its technology and intellectual property.</p>
<p>b) <strong>Real Property Services</strong>: Immohold S.A. and Properties S.A. established in 1982 and 1988 in Luxembourg and jointly hold real estate and long term leasehold interests and other rights to properties including factories, processing plants, shop and restaurants are located and operated. This division manages all property interests for the group and subsidiaries and hold the head leases for franchisees using the Radiancy name and other trademarks, controlled by the group.</p>
<p><em>Active:</em></p>
<p>These are divided into four main operating divisions:</p>
<p><strong>Research &amp; Development</strong></p>
<p>Focus on R &amp; D activities, improving existing light technology and the use of light and heat (LHE) technologies, e.g. photo-therapy, LASER&#8217;s and ozone creation processes. It also includes investments with RAB Capital PLC (Ventures Capital Fund in the UK) into developing a Regenerative Drive System for the US Army.</p>
<p><strong>Phototherapy Devices</strong></p>
<p>This primarily involves the development and distribution to dermatologists, medical clinics and aestheticians of LASER&#8217;s and pulsed light devices for use in treating skin ailments and disorders, including acne, psoriasis, skin rejuvenation and anti-ageing together with hair stimulation and removal. Other applications include optical treatments and joint ventures including the supply of light bulbs, consumables and the Radiancy skin care range.</p>
<p><strong>Food Processing</strong></p>
<p>Investment in food processing in Israel and Portugal has led to the development of a range of applications in treating food with ozone and ultra violet radiation to preserve cooked food-stuffs prior to freezing and storage. Operations have expanded during 2010 in establishing a distribution network for the Group&#8217;s food processing and storage devices and licensing the use of selected Radiancy food processing devices in Australasia and Europe.</p>
<p><strong>Mineral Treatment and Processing</strong></p>
<p>Mineral Exploration S.A (a French/Luxembourg mining group) with operations in Africa, Asia and Australia began in 1989. In partnership with Degussa A.G. of Germany, the Company in 2003 devised a series of extraction devices for use in mineral separation with radiated light which were developed and are currently in use in Brazil, Angola and South Africa. Further improvements and refinements are presently coordinated through Group researchers based in Israel and Stuttgart in Germany.</p>
